Terms & Conditions

By purchasing, downloading, or using Frequency Tracker ("Software," "Application," or "Product"), you ("User," "You," or "Subscriber") agree to the following Terms and Conditions ("Terms"), which constitute a legally binding agreement between you and Frequency Tracker ("Company," "We," "Us," or "Our"). Please read carefully before completing your purchase.

 

1. Product Description

Frequency Tracker is a desktop trading journal and performance analytics application ("Application") available on macOS and Windows. It is designed to help futures traders track trades, monitor discipline habits, and analyze performance.

Current supported instruments: ES (E-mini S&P 500), MES (Micro E-mini S&P 500), NQ (E-mini Nasdaq-100), MNQ (Micro E-mini Nasdaq-100), YM (E-mini Dow), MYM (Micro E-mini Dow), RTY (E-mini Russell 2000), M2K (Micro E-mini Russell 2000), GC (Gold Futures), MGC (Micro Gold Futures), SI (Silver Futures), SIL (Micro Silver Futures), CL (Crude Oil Futures), and MCL (Micro Crude Oil Futures). Additional instrument support may be added in future updates.

Frequency Tracker is a standalone software product. It is not a financial product and does not process trades, execute orders, or hold any funds on your behalf.

 

2. Subscription & Billing

Frequency Tracker is offered on the following subscription plans ("Subscription Fee"), unless otherwise stated at the time of purchase:

  • Monthly: $29.99 per month
  • Annual: $299.99 per year ($25.00/month)

Your subscription begins on the date of purchase and automatically renews on the same date each month or year, depending on the plan selected.

  • You authorize payment processing through our third-party payment processor (PayPal or Stripe, via Kajabi Pay) on a recurring basis until you cancel. Frequency Tracker does not store, access, or handle your payment information directly. All payment data is managed securely by our third party payment processor in accordance with their terms of service and privacy policy.
  • You may cancel your subscription at any time through your account settings or by contacting us directly. Cancellation takes effect at the end of your current billing period. No partial refunds will be issued for unused days in a billing cycle.
  • Frequency Tracker reserves the right to modify the Subscription Fee at any time. You will be notified of any price changes at least 14 days in advance. Continued use of the Application after the effective date of a price change constitutes acceptance of the new fee.

 

3. Refund Policy

All purchases are final. No refunds will be issued under any circumstances, including but not limited to:

  • Non-use or infrequent use of the Application
  • Dissatisfaction with features or functionality
  • Cancellation mid-billing cycle
  • Technical issues caused by your hardware, operating system, or third-party software

All new subscribers receive a 7-day free trial before any charge is applied, providing full opportunity to evaluate the Application prior to purchase. By completing your purchase and allowing your trial to convert to a paid subscription, you acknowledge and agree that no refunds will be provided. 

 

4. Software License & Authorized Use

4.1 License Grant

Subject to your compliance with these Terms and your active subscription, Frequency Tracker grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one (1) instance of the Frequency Tracker Application on a single device that you personally own or control, solely for your own personal trading journal purposes.

4.2 Restrictions — What You May NOT Do

The following actions are strictly prohibited and constitute a material breach of these Terms:

  • Share, distribute, sublicense, sell, lease, gift, lend, rent, or transfer the Application or your account credentials to any third party under any circumstances
  • Allow any other individual — including friends, family members, colleagues, or clients — to access or use the Application under your account
  • Install or operate the Application on more than one device simultaneously without express written permission from Frequency Tracker
  • Copy, reproduce, modify, adapt, translate, or create derivative works based on the Application or any part thereof
  • Reverse engineer, decompile, disassemble, decrypt, or attempt to derive or extract the source code, structure, or algorithms of the Application
  • Upload, post, or distribute the Application or any part of it on forums, file-sharing platforms, websites, or any other medium
  • Use the Application for commercial purposes, resale, or to create competing products or services
  • Circumvent, disable, or tamper with any licensing, authentication, or access control mechanisms within the Application
  • Use the Application in a manner that violates any applicable law or regulation

4.3 Enforcement & Cost Recovery

Any unauthorized use, sharing, distribution, or reproduction of the Application constitutes a violation of this license and applicable intellectual property law. In the event of a violation, Frequency Tracker reserves the right to, at its sole discretion:

  • Immediately terminate your license and access to the Application without notice and without refund
  • Pursue all available legal remedies, including injunctive relief and monetary damages
  • Seek recovery of all actual damages, statutory damages, lost revenues, lost profits, and costs attributable to the unauthorized use

You agree that in the event Frequency Tracker initiates legal action to enforce these Terms and prevails, you shall be liable for and shall reimburse Frequency Tracker for: (a) all actual and compensatory damages; (b) all attorney's fees, legal costs, and court fees incurred; (c) any investigative or enforcement costs; and (d) any additional costs reasonably attributable to the enforcement of these Terms. This obligation survives the termination of your subscription.

Frequency Tracker may, at its sole discretion, seek all available legal remedies including statutory damages under applicable copyright and intellectual property law, in addition to actual damages, lost profits, and any other damages recoverable at law or in equity.

4.4 Ownership

The Application and all associated intellectual property — including but not limited to source code, design, algorithms, trademarks, logos, and documentation — are and shall remain the exclusive property of Frequency Tracker. These Terms do not transfer any ownership rights to you. You receive only the limited license described in Section 4.1.

 

5. Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials. You agree to:

  • Not share your login credentials with any other person for any reason
  • Notify Frequency Tracker immediately if you become aware of any unauthorized access to or use of your account
  • Accept full responsibility for all activity that occurs under your account

Frequency Tracker is not liable for any loss or damage arising from your failure to maintain account security.

 

6. Third-Party Integrations

The Application may integrate with or connect to third-party services, including but not limited to NinjaTrader for real-time trade importing. Additionally, the Application supports manual CSV import of trade history exported from third-party platforms. Your use of any third-party service is subject to that service's own terms of service and privacy policy. Frequency Tracker is not responsible for the availability, accuracy, or practices of any third-party service, nor for the accuracy of data contained in manually imported CSV files.

The real-time auto-import feature requires NinjaTrader to be running and properly connected. While Frequency Tracker includes built-in safeguards and trade recovery tools to minimize missed imports, we are not responsible for missed, delayed, or incomplete trade imports resulting from connectivity issues, NinjaTrader configuration, or network interruptions. Any trade not captured by auto-import can still be imported manually at any time.

 

7. No Financial or Trading Advice

Frequency Tracker is a trade journaling and analytics tool, not a broker-dealer or provider of financial or trading advice. Nothing within the Application constitutes financial advice, investment advice, trading signals, or recommendations to buy or sell any financial instrument.

Trading futures and other financial instruments involves substantial risk of loss and is not suitable for all investors. You acknowledge that:

  • You are solely responsible for all trading decisions and outcomes
  • Past performance reflected in your journal is not indicative of future results
  • Frequency Tracker is not a registered broker, financial advisor, investment advisor, or commodity trading advisor
  • No guarantee of profit or specific trading outcome is made or implied
  • Dashboard figures and data shown in marketing materials are for illustration purposes only and do not represent guaranteed or typical results

 

8. No Warranty

The Application is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. Frequency Tracker does not warrant that:

  • The Application will be error-free, uninterrupted, or free from bugs or security vulnerabilities
  • The Application will be compatible with all operating systems, hardware configurations, or third-party software
  • Data imported or stored within the Application will be accurate, complete, or free from loss

You assume all risk associated with your use of the Application.

The Application may trigger security warnings on macOS or Windows during installation, as it is currently pending code signing certification. This does not indicate malicious software. Users can proceed by selecting "More Info" and "Run Anyway" on Windows, or "Open Anyway" in macOS System Settings. We are actively working on obtaining full code signing certification.

 

9. Limitation of Liability

To the fullest extent permitted by applicable law, Frequency Tracker and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind arising from your use of or inability to use the Application, including but not limited to:

  • Trading losses or lost profits
  • Loss of data or data corruption
  • Business interruption
  • Costs of substitute products or services

In no event shall Frequency Tracker's total liability to you for all claims arising under these Terms exceed the total amount paid by you to Frequency Tracker in the three (3) months preceding the event giving rise to the claim.

 

10. Data & Privacy

Trade data and journal entries are stored locally on your device. Your account authentication is managed through a secure third-party authentication provider. Frequency Tracker does not sell, rent, or share your personal information with third parties, except as required by law or to deliver the Application's services.

You are responsible for maintaining backups of your local data. Frequency Tracker is not liable for data loss resulting from device failure, software errors, or improper use.

Important: Storing your Application database in a cloud-synced folder (e.g., Google Drive, Dropbox, iCloud) may cause data corruption. Frequency Tracker is not responsible for data loss resulting from this configuration.

 

11. Affiliate Program

Frequency Tracker may offer an affiliate program allowing third parties to earn commissions by referring new subscribers. Participation in the affiliate program is governed by a separate Affiliate Agreement, which is incorporated herein by reference. In the event of any conflict between these Terms and the Affiliate Agreement, the Affiliate Agreement shall control with respect to affiliate-specific matters.

Frequency Tracker reserves the right to modify, suspend, or terminate the affiliate program at any time without notice.

 

12. Termination

Frequency Tracker reserves the right to suspend or terminate your access to the Application at any time, without notice and without refund, if you:

  • Violate any provision of these Terms
  • Engage in unauthorized sharing, distribution, or reproduction of the Application
  • Fail to maintain an active subscription in good standing
  • Use the Application in a manner that could harm Frequency Tracker or other users

Upon termination, your license to use the Application is immediately revoked. Sections 4, 9, 10, 13, and 14 survive termination.

 

13. Modifications to Terms

Frequency Tracker reserves the right to modify these Terms at any time. Changes will be posted with an updated "Last Updated" date. Your continued use of the Application following any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription and discontinue use of the Application.

 

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes arising under or related to these Terms shall be resolved exclusively in the courts of Salt Lake County, Utah. You consent to personal jurisdiction in such courts.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

 

15. Indemnification

You agree to indemnify, defend, and hold harmless Frequency Tracker and its owners, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Application; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) any unauthorized sharing or distribution of the Application by you or through your account.

 

16. Acknowledgment

By completing your purchase, you acknowledge that:

  • You have read, understood, and agree to be bound by these Terms and Conditions
  • You understand that no refunds will be issued
  • You understand that sharing or distributing the Application is strictly prohibited and may result in legal action and cost recovery
  • You understand that trading involves risk and no financial results are guaranteed
  • You understand that Frequency Tracker is not a financial product and does not provide financial or trading advice
  • You are at least 18 years of age and have the legal capacity to enter into this agreement 

 

17. Community Conduct

Access to the Frequency Tracker community ("Community") is included with an active subscription. By participating in the Community, you agree to the following standards of conduct:

You agree that you will NOT:

  • Post, share, or promote hate speech, discrimination, or content that demeans individuals based on race, ethnicity, gender, religion, sexual orientation, nationality, disability, or any other characteristic
  • Harass, bully, threaten, or intimidate other community members
  • Share unauthorized trading signals, financial advice, or solicitations of any kind
  • Spam, advertise, or promote competing products or services
  • Share another member's personal information without their consent
  • Post illegal, obscene, or otherwise inappropriate content
  • Impersonate Frequency Tracker staff or other community members

Frequency Tracker reserves the right to moderate, remove, or edit any content that violates these standards at its sole discretion. Violations may result in:

  • A warning
  • Temporary suspension from the Community
  • Permanent removal from the Community
  • Termination of your Application subscription without refund, depending on the severity of the violation

Frequency Tracker is not responsible for content posted by community members and does not endorse any opinions, advice, or information shared within the Community.
